Terms of service

These Terms and Conditions ("Terms") govern your access to and use of the website at yapaclub.com (the "Site"), the YAPA device and any related hardware (the "Device"), and the calling and connectivity services we provide with the Device (the "Services"), each provided by Inyeon Telecoms Ltd ("YAPA", "we", "us" or "our"), a company registered in England and Wales under company number 17290979, whose registered office is at 167–169 Great Portland Street, 5th Floor, London, W1W 5PF.
By purchasing a Device, creating an account, or otherwise using the Site or the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site, the Device, or the Services.
Key points (plain-language summary)
This is a plain-language summary for convenience only. It does not form part of, and does not replace, the full Terms and Conditions below, which are the legally binding document. If anything here conflicts with the full Terms, the full Terms apply.
- YAPA-2-YAPA (free) lets a Device call and receive calls from approved contacts, but it cannot call 999 or any other emergency number. See section 2.1.
- YAPA-Pro (paid) adds UK 999 access - but this will not work during a power cut or internet outage, so your household needs another way to reach emergency services if that happens. See sections 2.2 and 3.
- You must be 18 or over to buy a Device or create an account; the account and Device are managed by a parent or guardian on behalf of their household. See section 1.
- Monthly plans can be cancelled at any time; 12-month plans come with a 14-day money-back guarantee from the date of purchase. Within your first 14 days on any new plan, if you cancel after the Service has started at your request, you'll get a refund for the unused part of those 14 days. See section 5.
- We'll give you at least 30 days' notice of any subscription price increase, and you can cancel before it takes effect if you don't agree. See section 5.7.
- The Device and Services are for personal, family and household use only - not for resale, commercial use, or misuse of the emergency-calling function. See section 7.
- If something goes wrong, contact us at info@yapaclub.com first. If we can't resolve it, you can refer your complaint free of charge to Ombudsman Services: Communications. See section 12.
- Returning a Device, faulty devices, and refunds on the Device itself are covered separately in our Returns Policy, not these Terms. See section 4.
1. Who these Terms are for
The Device and Services are designed to be bought and managed by a parent or legal guardian ("Account Holder", "you") on behalf of their household, for use by children and other family members. You must be at least 18 years old and have the legal capacity to enter into a binding contract in order to create an account or make a purchase. You are responsible for all activity on your account, and for the acts and omissions of anyone who uses a Device under your account, including your children.
2. The YAPA service tiers
Every Device is used with one of two service tiers.
2.1 YAPA-2-YAPA (free)
YAPA-2-YAPA is our free tier. It lets the Device make and receive calls to and from contacts that the Account Holder has approved
YAPA-2-YAPA does not include access to the emergency services. A Device on YAPA-2-YAPA cannot dial 999 or any other emergency number. If you want your child to be able to reach the emergency services from their Device, you will need to subscribe to YAPA-Pro (see 2.2). We ask you to confirm you understand this limitation when you set up a Device on YAPA-2-YAPA, and it is also stated on the relevant product and sign-up pages.
2.2 YAPA-Pro (paid)
YAPA-Pro is our paid subscription tier. In addition to calls to approved contacts, a Device on YAPA-Pro can call the UK emergency services (999).
Emergency calling on YAPA-Pro depends on the Device having mains power and a working internet connection. If there is a power cut, or your home broadband or Wi-Fi is down, the Device - including its 999 emergency-calling function - will not work, in the same way a cordless or internet-based home phone does not work during a power cut. We are not able to offer 999 access on YAPA-Pro during a power cut or internet outage. Please make sure your household has an alternative way of contacting the emergency services (such as a mobile phone) in case of a power or connectivity failure.
3. Emergency calling - general limitations
Even where 999 access is available under YAPA-Pro, calling the emergency services from the Device works differently to a traditional landline:
- You must keep the home address associated with each Device (the "Registered Location") accurate and up to date, as this is the address that may be passed to the emergency services. If you move a Device to a different address, update the Registered Location before use - there may be a short delay before an updated address takes effect.
- Emergency calls depend on the Device's connection to our telecoms platform and underlying third-party networks, which we do not control and cannot guarantee will be fault-free at all times.
To the fullest extent permitted by law, we are not liable for any failure or delay in connecting a call to the emergency services, except to the extent caused by our gross negligence or wilful misconduct. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under English law.
4. Buying a Device
- Prices shown on the Site are in pounds sterling and include VAT unless stated otherwise. Delivery charges are shown separately at checkout.
- Your order is an offer to buy a Device. A contract is formed only when we send you confirmation that your order has been dispatched (or otherwise confirm acceptance in writing). Until then, we may decline or cancel an order - for example if a Device is out of stock or there has been a pricing error - in which case we will refund anything you have paid.
- Risk in a Device passes to you on delivery. Title passes once we have received payment in full.

5. Subscriptions and billing
This section explains how YAPA-Pro subscriptions work.
5.1 Plan types
- Monthly plan: billed from the date of purchase, and renews each month unless cancelled.
- 12-month plan: paid upfront and runs for 12 months from the date the Device is activated.
- YAPA-2-YAPA: free, with no billing and no fixed term.
5.2 Cancelling a monthly plan.
You can cancel at any time. Your Service continues until the end of the period you have already paid for; we do not offer pro-rata refunds for the unused part of a billing period, save as set out in section 5.4 below if you are within your first 14 days on a new plan. We keep your Device's phone number reserved for 30 days after your Service is suspended, so that if you rejoin within that window you can keep the same number.
5.3 Failed renewal payments.
If a renewal payment fails, we will retry it and give you a 7-day grace period during which Service continues. We may suspend an individual Device sooner within that window if it is used in an unusual or excessive way (for example, unusually high call usage) while payment is outstanding. We will suspend the Service if payment has not been received by the end of the grace period.
5.4 Refunds on usage-based charges.
Save as set out in this section 5, charges for YAPA-Pro are non-refundable, including if you cancel partway through a paid period. We may, at our sole discretion, offer a discretionary goodwill refund in individual cases; this is not something you should expect as of right and does not set a precedent for other cases.
Your 14-day right to cancel, and early start of Service. Separately from the position described above, you have a 14-day statutory cancellation period starting on the date you buy a plan, during which you can change your mind for any reason. By activating your Device or otherwise starting to use a plan before that 14-day period ends, you are expressly asking us to begin providing the Service straight away, and you acknowledge that this may reduce the refund you are entitled to if you go on to cancel within the 14 days. If you cancel within the 14-day period after we have started providing the Service at your request, we will refund what you have paid for that plan less a proportionate amount for the part of the 14 days during which the Service was made available to you, calculated by reference to the plan's full price. If you cancel within the 14 days before the Service has started, you will receive a full refund. This 14-day right is in addition to, and separate from, the further 14-day cancellation right for 12-month plans described in section 5.5 below.
5.5 12-month plans.
If you buy a 12-month plan, you have 14 days from the date of purchase to cancel for any reason and receive a full refund (this is in addition to your other cancellation rights - see our Returns Policy). Once the plan has been activated, it is non-refundable, save at our discretion as described in 5.4.
5.6 Moving between plans.
You can move from a monthly plan to a 12-month plan at any time. If you switch partway through a monthly billing cycle, your new 12-month term will run for 12 months from activation, plus the number of unused days remaining in your current monthly cycle, added to the end of the term.
5.7 Price changes.
We will give you at least 30 days' notice of any increase to your subscription price before it takes effect. If you do not agree, you may cancel in accordance with this section before the change takes effect.
6. Using the Device outside the UK
Calling between YAPA devices is designed to work wherever you and your family are, and we're happy for you to use your Device while travelling or living abroad. However:
- UK 999 access on YAPA-Pro does not extend to emergency numbers in other countries. If your child is using their Device outside the UK, please make sure they know the local emergency number for wherever they are.
- Service and call quality abroad depend on the internet connection available at that location, which we do not control.
7. Acceptable use
You will use the Site, Device and Services only for personal, family or household purposes, and you will not, and will not allow anyone using your account to:
- break any applicable law;
- use the Device or Services for any commercial purpose, telemarketing, or automated or bulk calling;
- interfere with, disrupt, or attempt to reverse-engineer the Device, the Services, or our platform;
- harass, threaten, or attempt to groom or exploit another user;
- resell the Device or Services without our written permission;
- misuse the emergency-calling function, including by making hoax emergency calls.
We may suspend or terminate your account if we reasonably believe you have broken this section.
8. Accounts and security
You must keep your account log-in details secure and tell us promptly if you think someone else has accessed your account without permission. You are responsible for keeping your contact list, Registered Location, and other account details accurate and up to date.
9. Intellectual property
The Site, our software, our trade marks (including "YAPA" and our logos), and all content we provide are owned by us or our licensors and may not be copied, modified, or used without our permission, except as needed to make normal use of the Device and Services.
10. Availability, changes and termination
- We provide the Services on a commercially reasonable efforts basis and cannot guarantee they will always be available or fault-free - for example, availability may be affected by power cuts, internet outages, or third-party network issues (see section 3).
- We may change or withdraw features of the Services, or suspend them for maintenance, giving you reasonable notice where practical.
- We may suspend or end your account if you break these Terms, or as set out in section 5. You can stop using the Services and close your account at any time.
11. Liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under English law, including your rights under the Consumer Rights Act 2015. Subject to that, to the fullest extent permitted by law:
- we are not liable for any loss that was not reasonably foreseeable to both parties at the time the contract was formed;
- we are not liable for any indirect or consequential losses nor are we responsible for any direct losses which include: direct lost profits, business interruption, or loss of business opportunity),
- our total liability for any claim arising out of these Terms is limited to the amount you have paid us in the 12 months before the claim arose;
- Device and Services are supplied for domestic and private use.
12. Complaints
If something goes wrong, please contact us first at info@yapaclub.com so we can try to put it right. If we haven't resolved your complaint within 8 weeks, or we reach deadlock sooner, you may refer it free of charge to Ombudsman Services: Communications, an independent alternative dispute resolution scheme we are signed up to:

This does not affect your right to bring a claim through the courts instead.
13. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes in our Services or the law. We will tell you about material changes by email or a notice on the Site, and where required by law we will give you at least 30 days' notice before a change takes effect. Continuing to use the Services after that means you accept the updated Terms.
14. Governing law
These Terms are governed by the law of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales, save that if you live in Scotland or Northern Ireland you may also bring proceedings in your local courts. Nothing in this section affects your right as a consumer to rely on mandatory provisions of the law of the country in which you live.
15. Other important terms
- We may transfer our rights and obligations under these Terms to another organisation, but this will not affect your rights or our obligations to you.
- If a court finds part of these Terms unlawful, the rest will continue to apply.
- If we do not immediately insist that you do anything you are required to do under these Terms, this will not mean you do not have to do it, and will not stop us from taking steps against you at a later date.
- These Terms are between you and us. No other person has any right to enforce them.
